STORY WOMAN’S CLUB CONSTITUTION

 

Approved February 7, 2019

 

ARTICLE I - NAME.

 

This organization shall be known as the Story Woman’s Club.

 

 

ARTICLE II - MISSION.

 

The mission of this club shall be to promote sociability in the community, to aid worthy community projects and to govern and maintain the building and property for the use of the community.

 

 

ARTICLE III - MEMBERSHIP.

 

Any resident of Story may become a member of the Story Woman’s Club if she is willing to abide by the Constitution and By-Laws.  The term resident shall mean one who has established residence in the Story and extended community.  An active member is one who pays her dues regularly, serves as hostess once a year if asked, attends meetings regularly and is willing to assist in club projects.

 

 

ARTICLE IV - OFFICERS.

 

The officers of this club shall be President, Vice President, Secretary, Treasurer, Assistant Secretary, Assistant Treasurer.

 

 

ARTICLE V - DUTIES.

 

Section 1. President.  The duties of the President shall be to preside at the regular meetings of the Club.  It shall be the duty of the President to familiarize themselves with the Parliamentary rules, By-Laws and Constitution.  Should a vacancy occur, the President’s position will be filled by the Vice President.  At the February Executive Board meeting, the President shall present to the Executive Board, for their approval, a proposed budget for the next year.

 

 

Section 2. Vice President.  The duties of the Vice President shall be to assume the duties of the President in the absence of that officer and to welcome new members.  Should a vacancy occur with more than three (3) months remaining in the Vice President’s term, a new Vice President will be elected by the general membership at the next business meeting.

 

Section 3. Secretary.  The duties of the Secretary shall be to keep accurate records of the proceedings of the business meeting.  Should a vacancy occur, the Assistant Secretary will fill the Secretary’s position.

 

Section 4. Assistant Secretary.  The duties of the Assistant Secretary shall be to assume the duties of the Secretary in the absence of that officer and to produce and provide the Yearbook to members. She will also provide a copy of the By-Laws and Constitution to new members.  Should a vacancy occur with more than three (3) months remaining in the Assistant Secretary’s term, a new Assistant Secretary will be elected by the general membership at the next business meeting.

 

Section 5. Treasurer.  The duties of the Treasurer shall be to have charge of the funds of the Club and to keep an accurate record of them.    The Treasurer shall give an oral report to the general membership and an identical written report to the Secretary to be filed with the minutes at each meeting.  The Treasurer shall receive and deposit all monies due the Story Woman’s Club, including membership dues.  Should a vacancy occur, the Assistant Treasurer will fill the Treasurer’s position.

 

Section 6. Assistant Treasurer.  The duties of the Assistant Treasurer shall be to assume the duties of the Treasurer in the absence of that officer, to become familiar with the Treasury and the Treasurer’s duties and to work closely with the Treasurer.  Should a vacancy occur with more than three (3) months remaining in the Assistant Treasurer’s term, a new Assistant Treasurer will be elected by the general membership at the next business meeting.

 

Section 7. Custodians of the Keys.  The Custodians of the Keys will be appointed at the discretion of the President and shall include selected officers, a specific member of groups who meet on a regular basis and two Woman’s Club members who live in close proximity to the Story Woman’s Club building.

 

Section 8. Executive Board.  The Executive Board shall consist of the officers of the Club, the immediate past President and the Trustee Board.  The duties of the Executive Board shall include planning, development and transacting business.

 

 

Section 9. Trustee Board.  The Trustee Board is the legal Board of the Club.  This Board consists of four (4) members who will serve as long as they are able and active Club members and property owners in the community of Story.  Two Trustees will be included as signers on all financial accounts and be responsible for filing the 990N report and the Annual Report. Vacancies on this Board are to be filled by ballot by the general membership, as are all the officers of the Club.

 

 

ARTICLE VI - MEETINGS.

 

Regular business meetings of the Club shall be held on the first Thursday of each month, excluding July.

 

 

ARTICLE VII - AMENDMENTS.

 

Any member desiring to offer an amendment to the Constitution or the By-Laws, shall be required to put it into writing and sign such letter.  It shall be read at one meeting and voted on at the next meeting.  The amendment will require a majority vote of attending members.  The President may, at her discretion, appoint a committee to examine the By-Laws and Constitution.  The By-Laws and Constitution committee will then present any and all changes to the general membership to be voted upon.  The changes will require a majority vote of attending members.  All changes in the By-Laws or Constitution, approved by the general membership, shall become effective immediately.
